Classific — Terms of Service

1) Acceptance of Terms

By accessing or using Classific (the "Service"), you agree to these Terms of Service (the "Terms"). If you use the Service on behalf of an Institution, you represent that you are authorized to bind that Institution to these Terms.

2) Accounts & Eligibility

  • You must provide accurate registration information and keep it updated.

  • If you are a Student, your account may be provisioned by your Institution; your access is governed by your Institution’s policies.

  • You must be the age of digital consent in your jurisdiction or have appropriate parental/Institutional consent.

3) Access; License

We grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Service in accordance with these Terms and applicable law.

4) Acceptable Use

You agree not to:

  • Violate laws or rights of others; attempt to gain unauthorized access.

  • Interfere with security or integrity testing measures.

  • Upload malicious code or content that is unlawful, harassing, defamatory, or infringing.

  • Use the Service to cheat or facilitate academic dishonesty.

  • Copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

We may monitor for abuse and may suspend accounts that violate this policy.

5) Institutional Responsibilities

Institutions are responsible for:

  • Providing lawful notices to Students regarding monitoring/proctoring and data processing.

  • Configuring assessments, rubrics, and access controls.

  • Ensuring lawful basis/consent for minors and compliance with applicable education privacy laws.

6) User Content & Ownership

  • Customer Content (e.g., prompts, questions, student submissions, grading rubrics) remains the property of the Institution or user, as applicable.

  • You grant Classific a limited license to host, process, transmit, and display Customer Content only as necessary to provide and improve the Service (including de‑identified analytics) and as otherwise permitted by the Privacy Policy and your Institution’s DPA.

  • You represent you have the rights and permissions to submit the Customer Content.

7) AI‑Assisted Features

  • AI suggestions and scores are informational; Educators remain responsible for final grading decisions.

  • Do not rely on AI outputs as legal, medical, or professional advice.

  • You are responsible for validating outputs before using them.

8) Templates and Exemplars

Classific may create de‑identified templates from aggregated Customer Content to improve usability and training scenarios. Institutions may opt out as described in the Privacy Policy.

9) Third‑Party Services

The Service may integrate with third-party services selected by Institutions (e.g., SSO, LMS). Their terms and privacy practices apply to those integrations.

AI-assisted evaluation is performed on infrastructure managed by Classific within its own Amazon Web Services (AWS) environment. Classific may use AWS-provided AI services (such as AWS Bedrock) as part of this infrastructure. Customer Content is processed under Classific’s control and is not used to train third-party foundation models.

AWS acts as a subprocessor solely for hosting, compute, and AI execution services, subject to contractual, technical, and organizational safeguards.

10) Fees & Payment (if applicable)

If you purchase a paid plan:

  • Fees, billing cycles, and taxes are as shown at checkout or in an order form.

  • Subscriptions renew automatically unless canceled per the plan’s terms.

  • Late payments may result in suspension.

  • Refunds: If you cancel your subscription, you will receive a prorated refund based on the lesser of: (1) the ratio of remaining monthly credits to your total monthly credit allocation, or (2) the ratio of remaining days in your current billing cycle to the total days in that cycle. The refund will be credited to your account as credits based on your plan's credit pricing. Purchased credits remain available and are not refunded.

11) Term; Suspension; Termination

We may suspend or terminate access for breach of these Terms, legal risk, or to protect the Service. Institutions may terminate per their agreement. Upon termination, your right to use the Service ceases, but sections that by nature should survive (e.g., IP, disclaimers, limitations, indemnities) will survive.

12) Feedback

If you provide feedback, you grant Classific a perpetual, irrevocable, royalty‑free license to use it without restriction.

13) Intellectual Property

The Service, including software, design, and trademarks, is owned by Classific and its licensors. Except for rights expressly granted, we reserve all rights.

14) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE OR UNINTERRUPTED.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLASSIFIC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

16) Indemnification

You agree to indemnify and hold harmless Classific, its affiliates, and personnel from claims arising out of your misuse of the Service or violation of these Terms or applicable law.

17) Governing Law; Dispute Resolution

These Terms and any dispute arising out of or relating to the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Venue. Except as otherwise provided in an Institution agreement or unless arbitration applies, the parties agree that any action or proceeding arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.

Arbitration (for individual users). At Classific’s election, disputes involving individual users (e.g., Educators or Students) may be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The seat of arbitration will be Delaware, and the language of the proceedings will be English. Judgment on the award may be entered in any court with jurisdiction.

Class Action Waiver. To the fullest extent permitted by law, all claims must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Governmental or Institutional Exceptions. Public Institutions bound by state procurement or venue statutes may negotiate alternative dispute-resolution terms in a written agreement with Classific.

18) Export & Sanctions Compliance

You may not use or export the Service in violation of applicable export control or sanctions laws.

19) Modifications

We may modify these Terms; we will post changes and update the Effective date. Continued use after changes take effect constitutes acceptance.
